Terms of Service

These Terms of Service (hereinafter referred to as "these Terms") set forth the conditions for using the services (hereinafter referred to as "the Service") provided by Gekkado Inc. (hereinafter referred to as "the Company"). All users (hereinafter referred to as "Users") who use the Service must comply with these Terms.

1. Scope of Application

These Terms apply to all Users, both domestically and internationally, and comply with applicable local laws and international data protection laws (e.g., GDPR, CCPA). If you do not agree to these Terms, you may not use the Service.

2. Service Description

The Service is a cloud-based software service for creating and managing PDF documents such as invoices and quotations. The features and service contents provided may be changed at the Company's discretion.

3. User Registration

1. Individuals who wish to use the Service (hereinafter referred to as "Applicants") must agree to these Terms and register the required information in accordance with the procedures specified by the Company.
2. The Company reserves the right to review and approve or reject Applicants' registration requests.
3. If false information is provided, the Company may cancel the registration.

4. User Account Management

Users are responsible for managing their own account information and must not lend, transfer, or share their account with third parties.
If Users become aware of unauthorized use of their account, they must immediately notify the Company.

5. Prohibited Activities

Users must not engage in the following activities when using the Service:

1. Illegal activities: Acts that violate local laws and international laws.
2. Unauthorized access: Acts that interfere with the Service's system or network.
3. Infringement of intellectual property rights: Acts that violate copyrights, trademarks, or other rights of the Company or third parties.
4. Fraudulent use: Acts of impersonating others when using the Service.
5. Other activities deemed inappropriate by the Company.

If a violation is confirmed, the Company reserves the right to suspend or delete the User's account.

6. Fees and Payments

Users who subscribe to a paid plan of the Service (hereinafter referred to as "Subscribers") shall pay the fees specified by the Company in accordance with the payment methods specified by the Company.
Unless the Subscriber cancels before the expiration date, the subscription will automatically renew with the same terms upon expiration.

Subscribers acknowledge that the fees may vary based on usage and agree to such changes.

The Company will bill Subscribers on a regular schedule, such as monthly or annually, depending on the contract terms.
Additionally, Subscribers acknowledge and agree that payment schedules may change for specific reasons.

If a Subscriber chooses to pay by credit card, they agree to authorize the Company to initiate payments on their behalf.
This authorization includes both one-time payments and recurring payments.

The Company may revise the fees upon prior notice to Subscribers.
If a Subscriber continues to use the Service after the revision, they will be deemed to have accepted the revised fees without objection.

If a Subscriber delays payment, a late fee of 14.6% per annum may apply.

7. Cancellation and Account Deletion

1. Users may cancel their subscription at any time by following the procedures specified by the Company.
2. Even after cancellation, some information may be retained for a certain period due to legal obligations (e.g., tax record retention).
3. The Company may delete a User's account without prior notice if they violate these Terms.

8. Service Interruption or Termination

The Company may temporarily suspend or terminate the Service in the following cases:

1. When system maintenance or failure response is necessary.
2. In cases of force majeure, such as natural disasters, power outages, or regulatory changes by the government.
3. When providing the Service becomes difficult due to legal requirements or the Company's discretion.

9. Intellectual Property Rights

1. The intellectual property rights related to the Service belong to the Company or its licensors.
2. Users are prohibited from copying, selling, or distributing the Service's content without permission.

10. Disclaimer

1. The Company does not guarantee that the Service will always be available without interruption or error.
2. Users use the Service at their own risk, and the Company is not responsible for any damages resulting from its use.
3. To the extent permitted by law, the Company's liability shall be limited to the monthly fee of the paid plan for the relevant month.

11. Amendments to the Terms

1. The Company may amend these Terms as necessary.
2. If significant changes are made, Users will be notified in advance.
3. If a User continues to use the Service after the amendment, they will be deemed to have agreed to the revised Terms.

12. Governing Law and Jurisdiction

1. These Terms shall be governed by and construed in accordance with Japanese law.
2. Even if the User resides outside Japan, any disputes shall be subject to the jurisdiction of the courts of Japan as the court of first instance.
